This Amendment No. 4 to Schedule 13D (this “Amendment No. 4”) amends the statement on Schedule 13D jointly filed by the Reporting Persons with the Securities and Exchange Commission (the “Commission”) on June 28, 2021 (the “Original Schedule 13D”), as amended and supplemented by Amendment No. 1 to Schedule 13D jointly filed by the Reporting Persons with the Commission on January 14, 2022 (“Amendment No. 1”), Amendment No. 2 to Schedule 13D jointly filed by the Reporting Persons with the Commission on May 11, 2022 (“Amendment No. 2”) and Amendment No. 3 to Schedule 13D jointly filed by the Reporting Persons with the Commission on June 15, 2022 (“Amendment No. 3”) (as amended and supplemented, collectively, the “Amended Schedule 13D”), with respect to beneficial ownership of the shares of common stock, par value $1.00 per share (the “Common Stock”), of American Equity Investment Life Holding Company, a corporation organized under the laws of Iowa (the “Issuer”), with principal executive offices at 6000 Westown Parkway, West Des Moines, Iowa 50266.

This Amendment No. 4 amends the Original Schedule 13D, as amended and supplemented by Amendment No. 1, Amendment No. 2 and Amendment No. 3, on behalf of the Reporting Persons to furnish the information set forth herein.  Except as set forth below, all Items of the Amended Schedule 13D remain unchanged.  Capitalized terms used but not otherwise defined herein shall have the same meanings as set forth in the Original Schedule 13D.

Item 4.
Purpose of Transaction:

Item 4 of the Amended Schedule 13D is hereby supplemented as follows:

As reported in the Second Quarter 2022 Form 10-Q, the aggregate number of shares of Common Stock of the Issuer outstanding as of August 2, 2022 was 87,638,191, which is a decrease from the 93,062,970 outstanding shares of Common Stock of the Issuer that were outstanding on the date Amendment No. 3 was filed.  As a result of such decrease in the aggregate number of outstanding shares of Common Stock of the Issuer, the aggregate percentage of outstanding shares of Common Stock of the Issuer that the Reporting Persons may be deemed to beneficially own increased by an amount equal to approximately one percentage point of the outstanding shares of Common Stock of the Issuer.

Effective November 8, 2022, Sachin Shah (“Mr. Shah”), BAM Re’s nominated director to the Board of Directors (the “Board”) of the Issuer, resigned from the Board. A copy of Mr. Shah’s letter of resignation is attached hereto as Exhibit 99.2. BAM Re does not currently plan to nominate another candidate to the Board.

On November 8, 2022, BAM Re sent the Issuer a letter demanding that the Issuer file a resale shelf registration statement for 9,106,042 shares held by the Reporting Persons, as required by the Investment Agreement.

I hereby tender my resignation as a member of the Board of Directors (the “Board”) of American Equity Investment Life Holding Company (the “Company”), effective immediately.

It is clear based on recent events that there has been a fundamental change in the strategic direction of the Company, and that change in my view represents a material departure from the AEL 2.0 strategy. As previously communicated, neither I nor Brookfield Reinsurance can support this change in strategy as being in the best interests of the Company, its policyholders or its shareholders.

For the time being, Brookfield Reinsurance will not exercise its rights under the Investment Agreement to designate a replacement director to the Board.
